These terms and conditions shall apply comprehensively to all transactions between Taurus General Administrative Scrivener Office, Taurus Financial Consulting Co., Ltd. and Taurus IMH Advisory Co., Ltd. (“Taurus Group” hereinafter) and the client. The client is required to review and agree to these terms before engaging Taurus Group for any services. However, if there are any conflicting provisions in a separate individual agreement entered into between both parties, the terms of the individual agreement shall take precedence.
(1) The fees and expenses related to the services provided by Taurus Group shall be based on the estimates issued separately by Taurus Group or the amount agreed upon between the client and Taurus Group.
(2) In the event that Taurus Group causes damages to the client due to negligence in the performance of the entrusted tasks, Taurus Group’s liability shall be limited to the amount covered by the applicable professional indemnity insurance, when it’s in place. If the professional indemnity insurance does not apply, Taurus Group’s liability shall be limited to the fees received for the specific services rendered.
(3) The client has the right to terminate the engagement at any time by forfeiting the paid fees. Likewise, Taurus Group may terminate the contract for the services by refunding the most recent received fee (limited to the most recent received amount, excluding any advance fees after receiving the interim payment), at its discretion. In the case of time-charge billing, no refunds shall be made for fees related to services already performed.
(4) Based on this comprehensive agreement, information may be jointly used and shared within Taurus Group, among the registered executives, the assistants registered with the Japan Federation of Certified Administrative Procedures Legal Specialists Associations, and other employees under employment contracts, in accordance with the confidentiality obligations imposed by the Certified Administrative Procedures Legal Specialist Act, other relevant laws and regulations, and various contracts. The client acknowledges and agrees to this in advance.
Response to Anti-Social Forces
In order to sever ties with organized crime groups, members of organized crime groups, related corporations, associations or individuals associated with organized crime groups, and other anti-social forces (“anti-social forces” hereinafter), Taurus Group establishes the following policy to exclude anti-social forces. Prior to engaging Taurus Group’s services, clients are required to agree and consent to this policy.
Declaration for Exclusion of Anti-Social Forces
(1) Taurus Group responds to take appropriate measures against any unjust demands made by anti-social forces, acting collectively as an organization.
(2) Taurus Group establishes close collaborative relationships with external specialized organizations such as the police, anti-organized crime campaign center, and lawyers to prepare for unjust demands by anti-social forces.
(3) Taurus Group severs all ties with anti-social forces, including business relationships, and does not comply with any unjust demands made by them.
(4) Taurus Group takes thorough legal measures, both civil and criminal, to address any unjust demands made by anti-social forces, by promptly sharing all information with investigative authorities, making public announcements, and disclosing the details of such incidents on various platforms, including video streaming, social media, and the Taurus Group website.
(5) Taurus Group actively discloses any unjust demands made by anti-social forces, even if they are related to the group’s business misconduct or employee misconduct, and never engage in any backdoor dealings to conceal such incidents.
(6) Taurus Group never provides any funds to anti-social forces.
Reporting to Relevant Authorities, Information Provision, and Public Disclosure
Taurus Group does not consider the following cases, related to transactions suspected to involve anti-social forces, as subjects of confidentiality obligations: cases where the involvement of anti-social forces is concealed from Taurus Group or cases where Taurus Group is deceived and misled into engaging in the transactions.
If such cases come to light, Taurus Group immediately provides all information, including relevant documents and communication records, to Public Prosecutor’s Office Japan, the Organized Crime Department of the Tokyo Metropolitan Police Department, the relevant Financial Bureau, and the Securities and Exchange Surveillance Commission.
Simultaneously, Taurus Group comprehensively issues press releases to newspapers, weekly magazines, web or other related media, by disclosing the address, name, phone number, email address, and any call recordings of the individuals allegedly involved such cases. Taurus Group also makes this information widely available on the Taurus Group website.
Refusal of Engagement
Taurus Group refuses to accept any engagement in the following cases:
(1) When the principal is recognized by Taurus Group as an anti-social force.
(2) When the prospective principal is recognized by Taurus Group to be a corporation or other organization controlled by organized crime groups or members of organized crime groups, dominating its business activities.
(3) When the prospective principal is a corporation with officers who are classified as members of organized crime groups.
(4) When the prospective principal engages in behavior that significantly disrupts Taurus Group or its employees.
(5) When the prospective principal engages in violent demands or demands that exceed reasonable limits towards Taurus Group or its employees.
Right to Terminate the Contract
The client acknowledges and agrees in advance that, if it is discovered that the client falls under any of the following items, Taurus Group reserves the right to terminate the contract and request compensation of damage equivalent to the amount of the entrusted fees. In the event of termination based on these terms, Taurus Group shall not be liable for any refunds or compensation to the client.
(1) Anti-social forces
(2) Corporations or other organizations controlled its business activities by organized crime groups or members of organized crime groups.
(3) Corporations with officers who are classified as members of organized crime groups.
(4) Cases where the client engages in behavior that significantly disrupts Taurus Group, its employees or others.
(5) Cases where the client engages in violent demands or requests burdens exceeding reasonable limits towards Taurus Group or its employees.
